Agent / Freelancer Agreement

1. Introduction
This Agent / Freelancer Agreement (“Agreement”) governs the relationship between GateOfAI (“Company”) and the independent contractor (“Agent” or “Freelancer”) who promotes, sells, or delivers GateOfAI products and services.
By registering as an Agent or Freelancer, you agree to this Agreement.
This Agreement applies only to Agents and Freelancers.
Companies using GateOfAI must refer to the Platform Terms & Conditions.
Website visitors must refer to the Website Terms.
2. Definitions
- “GateOfAI” — the platform, tools, and services provided by GateOfAI.
- “Agent/Freelancer” — an independent contractor promoting or delivering GateOfAI services.
- “Client” — a company or individual referred or served by the Agent.
- “Subscription Services” — recurring monthly services such as LiveAssist.
- “Project Services” — custom AI development, automation, chatbot building, or integrations.
- “Commission” — payments earned by the Agent for referrals or project work.
- “Referral” — a new Client introduced by the Agent.
3. Independent Contractor Status
The Agent is not an employee of GateOfAI.
The Agent is an independent contractor, meaning:
- No employment benefits
- No salary
- No fixed working hours
- No exclusivity
- No authority to legally bind GateOfAI
The Agent is responsible for their own:
- Taxes
- Insurance
- Legal compliance
- Business expenses
4. Agent Responsibilities
The Agent agrees to:
- Promote GateOfAI professionally
- Provide accurate information to potential Clients
- Follow GateOfAI’s sales and communication guidelines
- Not misrepresent GateOfAI’s capabilities
- Maintain confidentiality
- Respect Client privacy
- Deliver project work professionally (if applicable)
The Agent must not:
- Promise features not offered by GateOfAI
- Provide false or misleading information
- Use unethical or illegal sales methods
- Represent themselves as GateOfAI employees
5. Referral Commissions (Subscription Services)
Agents earn recurring commissions for Clients they refer.
Commission Structure:
- The Agent earns a monthly commission for every referred Client who subscribes.
- Commission continues as long as the Client remains subscribed and pays monthly.
- Commission percentage is defined in the Agent Dashboard or onboarding materials.
Commission Conditions:
- The Client must register using the Agent’s referral link or code.
- If multiple Agents claim the same Client, GateOfAI decides based on evidence.
- GateOfAI may adjust commission rates with notice.
6. Project Commissions (AI Tools & Custom Development)
Agents may earn commissions for:
- Custom AI development
- Automation projects
- Chatbot building
- AI integrations
- Any project sold to a Client
Commission Structure:
- Commission is paid per project.
- Commission percentage or fixed amount is defined in the Agent Dashboard or project agreement.
Delivery Work:
If the Agent also delivers the project:
- They may receive additional payment for project execution.
- Payment terms are defined per project.
7. Payment Terms
- Commissions are paid monthly.
- Payments are made via the method selected in the Agent Dashboard.
- GateOfAI may require identity verification before releasing payments.
- Commissions are paid only for cleared and successful Client payments.
- Chargebacks or refunds result in commission reversal.
8. Confidentiality
The Agent agrees to keep confidential:
- GateOfAI business information
- Pricing structures
- Client data
- Internal tools
- Documentation
- Source code
- AI models
- Training materials
Confidentiality obligations continue even after termination.
9. Intellectual Property
All GateOfAI intellectual property remains the exclusive property of GateOfAI.
The Agent may not:
- Copy
- Modify
- Reverse engineer
- Sell
- Distribute
any GateOfAI software, tools, or materials.
10. Client Ownership
Clients referred by the Agent remain GateOfAI’s Clients, not the Agent’s.
The Agent may not:
- Claim ownership of Clients
- Move Clients to another platform
- Sell Client data
- Interfere with GateOfAI’s relationship with Clients
11. Prohibited Conduct
The Agent must not:
- Engage in spam or unsolicited messaging
- Use misleading advertising
- Promise guaranteed results
- Offer unauthorized discounts
- Compete unfairly with other Agents
- Attempt to bypass GateOfAI’s payment systems
- Use GateOfAI tools for illegal activities
12. Termination
GateOfAI may terminate this Agreement if:
- The Agent violates these Terms
- The Agent engages in unethical behavior
- Fraud or abuse is detected
- The Agent damages GateOfAI’s reputation
- Legal or compliance issues arise
The Agent may terminate their participation at any time.
Upon termination:
- Future commissions stop
- Past earned commissions remain payable
- Access to the Agent Dashboard is revoked
13. Limitation of Liability
GateOfAI is not liable for:
- Agent’s actions
- Agent’s statements
- Loss of income
- Loss of Clients
- Business losses
- Errors in AI Suggestions
- Technical issues or downtime
The Agent participates at their own risk.
14. Governing Law
This Agreement is governed by the laws of the United Kingdom.
Disputes shall be resolved through UK courts or arbitration as specified by GateOfAI.
15. Changes to Agreement
GateOfAI may update this Agreement at any time.
Continued participation as an Agent constitutes acceptance of the updated Agreement.
