These Terms & Conditions (“Terms”) govern your access to and use of GateOfAI (“Platform”), operated by GateOfAI, LLC, a Delaware Limited Liability Company. By registering an account, accessing, or using GateOfAI, you agree to be bound by these Terms and our Privacy Policy.

GateOfAI operates globally as a digital-first platform providing AI automation tools, enterprise AI project delivery, and partner ecosystems.

1. Legal Entity & Merchant of Record (MoR)

GateOfAI is operated by:

GateOfAI, LLC acts as the Merchant of Record and Primary Contracting Entity responsible for service delivery, milestone verification, and subcontractor management. Clients contract with and pay GateOfAI, LLC directly for AI engineering solutions and platform services.

All agreements, transactions, platform activities, and legal disputes arising from or relating to your use of the Platform are governed exclusively by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.

2. Platform Overview

GateOfAI provides two core services:

2.1 GateOfAI Automation Cloud

A self-serve AI automation platform enabling:

• Workflow automation & API integrations
• Retrieval-Augmented Generation (RAG) knowledge retrieval
• Autonomous data extraction and lead processing
• Enterprise agent executions

2.2 GateOfAI Enterprise Marketplace

A managed marketplace where businesses hire certified Tech Architects to design, execute, and deliver custom AI infrastructure using:

• Architect-led execution frameworks
• Milestone-based project management & verified code delivery
• Commercial milestone protection and staged fund allocation (Milestone-Based Fund Holding)
• Multi-developer collaboration and verified deliverables

3. User Roles & Independent Contractor Status

GateOfAI supports distinct ecosystem roles: Company (Client), Tech Architect, Technical Freelancer, Sales Partner, and Admin. Developers, architects, and sales partners act as independent contractors engaged and compensated by GateOfAI based on verified milestone approvals.

4. Account Requirements & Compliance

To create and maintain an account, you agree to:

• Provide accurate and complete registration information
• Maintain the security of your credentials
• Complete mandatory profile verification and AI interview assessments when required
• Comply with all applicable laws and platform policies

GateOfAI may suspend or terminate accounts that fail compliance checks, provide fraudulent documents, or violate platform rules.

5. Enterprise Project Workflow

Enterprise projects follow the Managed Milestone Delivery Framework:

1. Requirements submission
2. Technical blueprint creation
3. Milestone payment allocation via Stripe
4. Execution and independent contractor management
5. Review and milestone approval
6. Contractor payout distribution upon verified delivery

GateOfAI does not store or process raw credit card details on its servers.

6. Milestone-Based Fund Holding & Commercial Protection

GateOfAI receives client payments as the Merchant of Record and manages fund allocations across project milestones:

• Funds are securely held in project milestone allocations until verified milestone completion.
• Allocated milestone funds are frozen in the event of an active dispute until resolution.
• Contractor payouts are distributed automatically upon client approval and admin sign-off.
• Global disbursements are processed via Payoneer, international bank wire transfers, and PayPal.

Regulatory Clarification: This milestone-based fund holding system is a commercial milestone management mechanism administered by GateOfAI as the primary contracting entity and does not constitute regulated financial escrow or fiduciary trust banking services. Contractors engaged through the platform are independent contractors and no employment, partnership, or joint venture relationship is created.

7. Platform Fees & Revenue Share

GateOfAI applies service fees and revenue-sharing splits across the Automation Cloud and Enterprise Marketplace.

• Client Pricing: Displayed in project blueprints, proposals, or subscription tiers
• Talent & Partner Compensation: Displayed in role-specific dashboards
• Automatic Execution: Fees and payouts are calculated automatically upon milestone approval

GateOfAI may update fee schedules with advance notice.

8. Payouts & Global Compliance

Payouts to Tech Architects, Technical Freelancers, and Sales Partners are distributed through supported global channels: Payoneer (global bank routing), international bank wire transfers (SWIFT/IBAN), and verified PayPal accounts.

8.1 Bank Wire Transfers (Optional)

GateOfAI supports direct international bank wire transfers upon request. Users choosing this payout method acknowledge and agree that:

• All wire transfer fees charged by sending, intermediary, or receiving banks are the responsibility of the recipient
• All currency conversion fees and exchange rate differences are the responsibility of the recipient
• GateOfAI is not responsible for delays caused by intermediary banks or regional banking networks
• GateOfAI is not liable for exchange rate fluctuations or international banking restrictions
• Additional verification may be required for high-value transfers or certain jurisdictions

8.2 Payout Eligibility Requirements

To receive payouts, users must:

• Successfully complete account registration and KYC/profile verification
• Maintain an active, valid payout account (Payoneer, bank wire details, or PayPal)
• Receive verified milestone approval or commission release
• Remain in good standing with all GateOfAI policies and compliance requirements

8.3 Processing Times

• Payoneer payouts typically process within 1–3 business days
• PayPal payouts process within 1–2 business days
• Bank wire transfers may take 3–10 business days, depending on the recipient’s country and banking network

GateOfAI does not guarantee exact payout timelines due to third-party banking dependencies.

9. Prohibited Activities & Non-Circumvention

Users may not:

• Circumvent GateOfAI or arrange off-platform contracts
• Contract independently for 12 months after initial introduction
• Share personal contact details to bypass platform milestone protection
• Engage in fraud or misrepresentation
• Upload malicious code or harmful files

Violations result in termination, forfeiture of pending payout balances, and potential legal action.

10. Intellectual Property Rights

10.1 Client IP Ownership

Clients retain ownership of:

• Project requirements, datasets, and business logic
• Final code deliverables and custom models
• RAG knowledge base content

GateOfAI does not use proprietary data to train public or third-party AI models.

10.2 GateOfAI Platform IP

GateOfAI retains ownership of:

• Platform software and Automation Cloud engine
• Marketplace architecture
• Brand assets, UI/UX, trademarks
• Pre-built workflow nodes and proprietary scripts

11. Dispute Mediation and Final Determination

1. Informal Neutral Mediation: In the event of a milestone dispute between a Client and a Service Provider, GateOfAI shall act as an informal, neutral mediator to evaluate submitted project deliverables against agreed milestone specifications. Both parties agree to provide reasonable evidence and documentation upon request.
2. Neutrality and Non-Guarantee: GateOfAI conducts mediation in good faith to facilitate resolution. GateOfAI makes no representation or warranty regarding dispute outcomes and shall not be held liable for mediation determinations made in good faith based on submitted evidence.
3. Milestone Auto-Approval: Submitted milestone deliverables shall automatically approve and release funds after seven (7) consecutive calendar days of Client inactivity, provided no active dispute ticket has been logged by the Client prior to the expiration of the 7-day period.
4. Escalation to Binding Arbitration: If either party rejects GateOfAI's informal mediation determination within fourteen (14) calendar days of the decision, the dispute may be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat and venue of arbitration shall be Delaware, USA.

12. Limitation of Liability

GateOfAI is not liable for third-party outages (Stripe, Payoneer, hosting providers), unauthorized account access, or business decisions based on AI outputs.

Liability Cap:
GateOfAI’s total liability shall not exceed the fees paid by you in the three (3) months preceding the claim.

13. Digital-First Operations

GateOfAI does not maintain physical offices. All communication, project management, and contract execution occur through secure digital channels.

14. Account Termination

GateOfAI may terminate accounts for policy violations, fraud, failed KYC, off-platform leakage, or non-payment/chargebacks. Termination may revoke access to workspaces and pending payouts.

15. Changes to Terms

GateOfAI may update these Terms at any time. Updates take effect upon posting with a revised “Last Updated” date.
